Speaker: Jerry Siegan - Partner - Arnstein & Lehr

Jerry Siegan is a partner in the law firm of Arnstein & Lehr LLP, where he is the Chair of the firm's Securities Practice Group and the Co-Chair of the Corporate Governance Practice Group. Jerry represents and advises private and public companies and entrepreneurs on a wide range of complex securities/and corporate transactions. He counsels businesses throughout the U.S., as well as companies in Canada and China on transactional matters including from capital formation, structure, private placements, public offerings, mergers and acquisitions, going private transactions, asset and stock acquisitions and sales, joint ventures, and venture capital transactions. His clients cover a broad range of industry segments, including telecommunications, software, internet service companies, real estate syndication firms, securities broker/dealer firms in underwritings, and private placements and SEC and NASD compliance. He serves as outside general counsel and outside special securities counsel to business clients and has served on the boards of directors and advisory boards of various companies. He has practiced law for more than 30 years.

He is a former Senior Staff Attorney at the Securities and Exchange Commission, Washington, DC, where he was the senior staff attorney on tender offer review and tender offer compliance matters. He also was named and served as Associate Counsel for the SEC's Public Hearings on Beneficial Ownership, Takeovers and Acquisitions by Foreign and Domestic Persons.

In private practice, Jerry served as special securities counsel in the landmark case of Standard Oil & Exploration of Delaware, Inc., which approved a new exempt securities offering financing technique, developed by him, for raising capital for companies in Chapter 11 proceedings and resulting in a new public successor company.

Jerry is the author of a number of published articles on and speaks regularly on various securities law topics including Sarbanes-Oxley compliance matters, going private transactions, private placements and real estate syndications.

His articles include the following: (i) "Summary of Sarbanes-Oxley Act of 2002"; (ii) "Sarbanes-Oxley - What can you Do? Initial and Long Term Compliance Suggestions"; (iii) "2 Initial Steps for Corporate Governance Compliance"; (iv) "36 Questions every Public Company Should Ask Itself"; (v) "Corporate Governance Survival Guide for Middle Market and Small Cap Growth Public Companies"; and (vi) "Public Companies - A Different Approach - The Going Private Alternative".

He received the Illinois Secretary of State's Public Service Award for service as a member of its Securities Law Advisory Committee and he co-authored amendments to the Illinois Securities Law of 1953, as amended. Jerry has chaired various subcommittees of the Chicago Bar Association's securities law committee. .

Speaker: David Friedman

After 17 years as a business owner and entrepreneur David Friedman joined GCG Financial Services in October of 2003. Having been a client of GCG for over 10 years he had first hand knowledge of the benefits GCG brings to clients of all types.

Friedman provides a wide variety of planning and advisory services for closely held business owners and key executives. He works with these groups in the development and management of group and Individual insurance benefits of all kinds, qualified and non-qualified retirement plans, pension and profit sharing plans, deferred compensation plans, executive benefits and business succession planning. He also works with families to develop wealth protection strategies, financial and insurance planning programs and college savings plans.

Friedman is also the CEO of Tricon Resources International, LLC. A serial entrepreneur with over 17 years experience in building and managing businesses. Mr. Friedman’s experience spans many different industries and practice areas including, finance, technology, retail, import/export, sales, marketing and consulting. As an entrepreneur and business owner Mr. Friedman has worked with and advised hundreds of closely held businesses and entrepreneurs on business strategy and implementation of all kinds. In addition, he has worked with dozens of fortune 500 companies some of which include C N A Insurance Company, Household International, Playboy Enterprises and Fruit of the Loom.

Friedman received his Bachelor’s degree in 1988 from the University of Illinois in Urbana Champaign where he was also a member of the wrestling team.

Currently Friedman is a member of the Board of Directors of the Young Entrepreneurs Organization and Chairman of the Board of the ElCyd Memorial Foundation for Leukemia Research and teaches several classes on entrepreneurship at the Chicagoland Entrepreneurial Center. He lives in Buffalo Grove with his 6 year old daughter where he is extremely involved in her school and recreational activities.
